Semler Scientific Expands Crypto Portfolio with 2,321 BTC
Semler Scientific, which operates in the production of medical devices and is known for its innovative approaches in the sector, is preparing to issue convertible senior bonds worth $ 75 million.
The company has announced that it plans to direct some of the income to be receiving Bitcoin (BTC) purchases with this financing initiative. According to an official press release dated January 23, 2025, the bond proposal will only be submitted to qualified corporate investors within the scope of Securities Act’s 144A rule.
This initiative represents an important step that the company has taken to expand its strategic investments in the field of digital assets and to support its corporate goals.
The maturity date of the bonds is determined as 2030 and bonds will give investors an interest every six months. Bond holders will have the right to transform these assets in cash, shares or in both ways. However, interest rates, conversion conditions and other important details will be clarified in the process where bonds will be priced.
The company will carry out “Capped Call Transactions olarak as an important part of the bond export process. This is designed to minimize the dilution of shares that may arise if the bonds are converted.
In addition, more Capped Call transactions are planned to be made if bond buyers make additional purchases. This aims to increase the confidence of investors to the company and to reduce the negative effects of bond transformation on shareholders.
Semler Scientific plans to use some of the funds to be obtained from bond exports to meet the costs of Capped Call transactions. However, the remaining revenues will be reserved for general institutional purposes and especially Bitcoin investments.
